Terms of Service

1. Acceptance of Terms

By engaging iMSX Pty Ltd ("iMSX", "we", "us", or "our") for services or by using our website, you agree to comply with and be bound by these Terms of Service. These terms apply to all visitors, users, and others who access our services.

2. Services

iMSX provides professional software development, AI orchestration, and strategic advisory services. The specific scope, timeline, and deliverables for any project will be governed by a separate Service Agreement or Statement of Work (SOW) signed by both parties.

3. Intellectual Property

Unless otherwise agreed in writing via a Service Agreement:

• Upon full and final payment, the Client shall own all right, title, and interest in and to the custom software deliverables created specifically for them.
• iMSX retains ownership of any pre-existing code, libraries, frameworks, or proprietary AI models ("iMSX IP") used in the delivery of services.
• The Client is granted a non-exclusive, perpetual licence to use any iMSX IP embedded within the final deliverables.

4. Client Responsibilities

To ensure successful project delivery, the Client agrees to:

• Provide timely access to necessary data, systems, and personnel.
• Review and approve milestones within agreed-upon timeframes.
• Ensure that any third-party content or data provided to iMSX does not infringe on any intellectual property rights.

5. Limitation of Liability

To the maximum extent permitted by law, iMSX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.
